Coach Cal gets extension and details of a buy out clause

Eight-year contract worth a total of $36.5 million plus the opportunity for performance-based incentives. You can view the breakdown per year here:  
Breakdown

There is a clause that states if Coach Cal was to be let go by the University without legitimate cause Coach Cal will receive $3 million a year for how many years left on his contract unless he is hired in a new position, in which he will receive the difference between the 3 million and his new position.  If his new position paid him 2 million, UK would owe him 1 million a year until the contract is up.

Now if UK was to release him with cause they would not owe Coach Cal anything.  Cause is defined as the following twelve events:
1) refusal or failure to provide information to the NCAA or SEC involving a investigation (the Bruce Pearl clause). 

2) Refusal to cooperate with NCAA/SEC/UK involving a investigation

3) Involvement in academic fraud with a recruit or a current player

4) Payment/Benefits given to a recruit or a current player

5) Misleading NCAA/SEC/UK on information involving an investigation (Bruce Pearl clause part II)

6) Knowing players are involved in gambling activities and not doing anything about it

7) Betting or accepting bets involving NCAA sports

8) Participating in anyway to organized gambling involving NCAA sports

9) Receiving payment for setting up a player with an agent or financial advisor

10) Failure to follow Athletic Department policies and committing criminal acts (excluding minor traffic accidents)

11) Criminal acts continued


12) Major NCAA violations

Now to the buy out clause. Every year there is rumors of Coach Cal going to the NBA...of course there is no rumors of him leaving to another school because he is already at the top of the mountain.  For Coach Cal to leave before the 2019-2020 season he or the program he goes to would have to pay the following:

1) 3 million dollars if Coach Cal was to leave in his first year of his contract

2) 2 million dollars if in the 2nd year of his contract 

3) 1 million dollars if in the 3rd year of his contract

4) 500,000 dollars if in the 4th year of his contract

Past this he would be able to leave without any buyout

In a bizarre addition to the contract is Josh Pastner's involvement.  For some reason he signed this document along with Dr. Lee Todd and Mitch Barnhart.  Pastner of course was Coach Cal's assistant at Memphis and is now the head coach of the Memphis Tigers.  I assume they needed someone not tied to the university as a witness.
